Overview:
In this session, we focus on Board of Director Compensation. Board compensation is often the responsibility of the compensation committee. In this session, a breakdown of the various components included in director compensation packages will be provided. Both cash and equity will be discussed along with retainers, per meeting fees, committee fees, and chair fees. This session also summarizes relevant compensation regulations and focuses on the responsibilities of the compensation committee. We review the infrastructure of a compensation committee and the best practices surrounding such items as the committee charter, calendar, composition, expertise, meeting agendas, etc. Findings from our BCG director survey and trends survey will be incorporated..
